1. Introduction

Welcome to GSync.

GSync is an audit engagement and task management platform operated by GS Software Solutions. GSync provides functionality for managing audit engagements, tasks, communications, supporting documents, email integration and related workflows.

These Terms of Service ("Terms") govern your access to and use of the GSync application, website and related services.

By accessing or using GSync, you agree to these Terms. If you do not agree with these Terms, you should not use GSync.

2. Eligibility and Authorized Use

GSync is intended primarily for business, professional and organizational use.

You may use GSync only if you are authorized to use the account or organization through which you access the service.

If you use GSync on behalf of an organization, you represent that you have the authority to accept these Terms on behalf of that organization.

3. User Accounts

Certain GSync features require an account. You are responsible for providing accurate information when creating or maintaining your account.

You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your account.

You should promptly notify GSync if you believe that your account or credentials have been accessed without authorization.

4. Engagements, Tasks and User Content

GSync allows authorized users to create, manage and collaborate on audit engagements and related tasks.

Users may enter or upload information such as engagement details, task information, comments, statuses, due dates, assignments, documents and attachments.

You are responsible for ensuring that the information and content you submit to GSync is accurate and that you have the necessary rights and permissions to use that content.

5. Acceptable Use

You agree to use GSync only for lawful and authorized purposes.

You must not use GSync to:

• Violate applicable laws or regulations.
• Access accounts, engagements, tasks or information without authorization.
• Attempt to bypass security or access controls.
• Introduce malicious code, malware or harmful software.
• Interfere with the operation or availability of GSync.
• Use the service to distribute unlawful, fraudulent or unauthorized content.
• Attempt to gain unauthorized access to another user's account or information.

6. Email Integrations

GSync may provide optional integrations with supported email services, which may include Gmail, Outlook and other supported email providers.

When you choose to connect an email account, you authorize GSync to access the information and functionality permitted by the permissions you grant through the applicable email provider's authentication and authorization process.

GSync does not ask you to provide your email account password directly to GSync. Email accounts are connected through the authentication and authorization process provided by the applicable email service.

Email functionality may include features such as sending email, accessing permitted email information, or searching for recipients, depending on the permissions granted and the functionality available within GSync.

You may disconnect an integrated email account through the available GSync functionality or revoke the authorization through the relevant email provider.

7. Google Services

Where GSync uses Google APIs or Google OAuth services, your use of those Google services may also be subject to Google's applicable terms and policies.

When you choose to connect a Gmail account, GSync may use Google APIs and Google's OAuth authorization services to provide the requested email functionality.

GSync's handling of information received from Google APIs is described in the GSync Privacy Policy and is subject to applicable Google API Services requirements.

8. Documents and Attachments

GSync may allow users to upload, store, access and download documents and other attachments associated with engagements, tasks or communications.

You are responsible for ensuring that you have the necessary rights to upload and share any document or attachment through GSync.

You should not upload content that you are prohibited from storing or sharing under applicable law, contractual obligations or organizational policies.

9. Third-Party Services

GSync may use or integrate with third-party services to provide functionality such as authentication, email, cloud storage, infrastructure, database services and other supporting services.

Your use of a third-party service may also be subject to that provider's own terms, privacy policy and applicable policies.

GSync is not responsible for the independent operation, availability or policies of third-party services that are outside GSync's control.

10. Intellectual Property

GSync, including its software, application, website, design, interface, branding, logos, features and related materials, is owned by or licensed to GS Software Solutions unless otherwise stated.

These Terms do not transfer ownership of GSync or its intellectual property to you.

You may not copy, modify, reproduce, distribute, reverse engineer, sell, sublicense or otherwise exploit GSync or its components except as permitted by applicable law or with written authorization.

11. Service Availability

GSync is provided as an online software service. We aim to maintain reliable availability of the service, but continuous or uninterrupted availability cannot be guaranteed.

Service availability may be affected by maintenance, upgrades, technical issues, infrastructure failures, third-party services or circumstances beyond our reasonable control.

12. Security

GSync uses reasonable technical and organizational measures intended to protect information handled through the service.

However, no internet-based service or electronic storage system can be guaranteed to be completely secure.

Users are responsible for maintaining the security of their account credentials and for using appropriate security practices.

13. Privacy

Your use of GSync is also subject to the GSync Privacy Policy.

14. Fees and Payments

Certain GSync features or plans may be provided on a paid basis.

Where applicable, fees, subscription terms, usage limits, billing arrangements and payment requirements will be communicated to the customer through the applicable commercial agreement, order form, subscription page or other applicable documentation.

Unless otherwise stated in the applicable agreement, fees paid for the service are subject to the terms communicated at the time of purchase or subscription.

15. Suspension and Termination

GSync may suspend or restrict access to an account where reasonably necessary to protect the service, users, data or security of the platform.

Access may also be suspended or terminated where a user materially violates these Terms, applicable law or an applicable customer agreement.

Users may stop using GSync at any time, subject to any applicable contractual or subscription obligations.

16. Disclaimer

GSync is provided as a software platform for managing audit engagements, tasks, communications and related workflows.

GSync does not provide legal, accounting, auditing, tax, financial or other professional advice.

Users remain responsible for their professional decisions, review processes, regulatory obligations and use of information generated or managed through GSync.

To the extent permitted by applicable law, GSync is provided on an "as available" and "as is" basis without warranties that the service will always be uninterrupted, error-free or suitable for every particular purpose.

17. Limitation of Liability

To the maximum extent permitted by applicable law, GS Software Solutions shall not be liable for indirect, incidental, special, consequential or punitive damages arising from or relating to the use of GSync.

This includes, where permitted by law, loss of profits, loss of business, loss of opportunity, loss of data or business interruption.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

18. User Responsibility and Indemnification

You are responsible for your use of GSync and for ensuring that your use of the service complies with applicable laws, regulations, contractual obligations and organizational policies.

To the extent permitted by applicable law, you agree to be responsible for claims, losses or liabilities arising from your unauthorized use of GSync, violation of these Terms, or infringement of another person's rights through content submitted or actions performed by you.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes to GSync, applicable requirements or our business practices.

When material changes are made, the updated version will be made available through the GSync website or application.

Your continued use of GSync after the updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws of India, subject to applicable legal requirements.

Any disputes arising in connection with these Terms or the use of GSync shall be subject to the jurisdiction of the courts having appropriate jurisdiction in India.

21. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable, and the remaining provisions shall continue in effect to the extent permitted by law.

22. Entire Agreement

These Terms, together with the GSync Privacy Policy and any applicable commercial agreement, order form or other written terms applicable to your use of the service, constitute the applicable agreement governing your use of GSync.
